1. Acceptance of Terms
By accessing or using this veterinary clinic management platform (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of a veterinary clinic or business entity, you represent and warrant that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you may not access or use the Service. Your continued use of the Service following any updates to these Terms constitutes your acceptance of the revised Terms.
We process personal data in accordance with Republic Act 10173 (Data Privacy Act of 2012) and its implementing rules and regulations.
2. Description of Service
The Service is a cloud-based software-as-a-service (SaaS) platform designed for Philippine veterinary clinics. It provides tools for managing patient records, appointments, medical histories, billing, inventory, and staff — as well as a companion portal for pet owners.
The Service is intended for use by licensed veterinary professionals and their authorized clinic staff. It is not a substitute for professional veterinary judgment, diagnosis, or treatment.
We reserve the right to modify, update, or discontinue any feature of the Service at any time. We will provide reasonable notice of material changes where practicable.
3. Accounts and Registration
To use the Service, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Each clinic account may have multiple staff members assigned different roles (Administrator, Veterinarian, Staff). The account administrator is responsible for managing access permissions and ensuring that all users comply with these Terms.
You must notify us immediately of any unauthorized use of your account or any other security breach. We are not liable for any loss resulting from unauthorized access to your account due to your failure to keep credentials secure.
4. Subscription and Billing
Access to certain features of the Service requires a paid subscription. Subscription fees are billed in Philippine Pesos (₱) on a recurring basis (monthly or annually, depending on your selected plan).
Payments are processed through our authorized payment processor. By providing payment information, you authorize us to charge the applicable fees. All fees are non-refundable except as expressly required by applicable Philippine law or as otherwise stated in writing.
We reserve the right to change subscription prices with at least 30 days advance notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.
Applicable taxes (including VAT under the National Internal Revenue Code) may be added to your subscription fee as required by law.
5. Data Ownership and Access
You own your clinic's data. All patient records, appointment data, medical histories, billing information, and other data you enter into the Service remain your property. We do not claim any ownership rights over your data.
We do not share, sell, rent, or use your patient records or clinic data for any purpose other than operating, maintaining, and improving the Service as described in these Terms and our Privacy Policy.
You may export your data at any time through the data export features available in the Service. Upon termination of your account, you will have a period of 30 days to export your data before it is deleted from our systems.
As a data controller under RA 10173, your clinic bears primary responsibility for the lawful processing of your patients' personal information. We act as your data processor for the purposes of operating the Service.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable Philippine law or regulation, including RA 10173 (Data Privacy Act), RA 8792 (Electronic Commerce Act), or professional veterinary licensing requirements.
- Enter false, misleading, or fraudulent medical records or billing information.
- Access or attempt to access data belonging to other clinics or users without authorization.
- Transmit malware, spam, or other harmful content through the Service.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Use the Service in a manner that disrupts or degrades its performance for other users.
We reserve the right to suspend or terminate accounts that violate these acceptable use provisions without prior notice.
7. Limitation of Liability
The Service is provided “as is” and “as available.” We make no warranties, express or implied, regarding the Service's fitness for a particular purpose, reliability, or uninterrupted availability.
We strive for high availability but do not guarantee uninterrupted service. Scheduled maintenance, unexpected outages, or third-party service disruptions may cause temporary unavailability. We are not liable for any losses arising from service interruptions.
To the maximum extent permitted by applicable law, our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid for the Service in the three months preceding the claim.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.
8. Termination
You may cancel your subscription and close your account at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.
We may suspend or terminate your access to the Service immediately and without notice if you materially breach these Terms, fail to pay applicable fees, or if we determine in good faith that continued access poses a risk to the security or integrity of the Service.
Upon termination, your right to access the Service ends immediately. Sections 5 (Data Ownership), 7 (Limitation of Liability), 9 (Governing Law), and any other provisions that by their nature should survive, will survive termination.
9. Governing Law (Republic of the Philippines)
These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the appropriate courts of the Philippines.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.
